OVERSIGHT CORPORATE COMMISSION (OCC)
FOUNDATIONAL CHARTER

PREAMBLE

In recognition of the necessity for accountability, transparency, and ethical governance within corporate and institutional systems, the Oversight Corporate Commission (OCC) is hereby established as an independent oversight authority.

This Charter affirms the Commission's mandate to uphold regulatory integrity, enforce compliance, and protect the public interest through structured oversight, investigation, and governance enforcement.

ARTICLE I — ESTABLISHMENT

  1. The Oversight Corporate Commission (OCC) is constituted as a governing oversight body with authority to monitor, review, and regulate corporate and institutional conduct.
  2. The OCC operates as an independent commission, free from undue external influence, and committed to impartial enforcement of its mandate.

ARTICLE II — MISSION AND PURPOSE

Section 1 — Mission

To ensure corporate accountability, enforce regulatory compliance, and uphold ethical governance standards across all entities under its jurisdiction.

Section 2 — Purpose

  • To oversee corporate operations and institutional conduct
  • To investigate violations of compliance and governance standards
  • To enforce corrective actions and regulatory measures
  • To promote transparency and public trust

ARTICLE III — AUTHORITY AND JURISDICTION

  1. The OCC shall exercise oversight authority over corporations, organizations, and entities operating within its defined jurisdiction.
  2. The Commission is empowered to:
    • Conduct audits and investigations
    • Issue findings and rulings
    • Enforce compliance measures and corrective actions
    • Establish regulatory guidelines and standards
  3. Jurisdiction shall extend to all entities subject to oversight as determined by governing provisions or applicable authority.

ARTICLE IV — POWERS OF THE COMMISSION

The OCC shall have the authority to:

  1. Initiate independent investigations
  2. Subpoena records, documents, and relevant materials (where applicable)
  3. Conduct hearings and formal reviews
  4. Issue enforcement actions, penalties, or sanctions
  5. Publish official reports and findings
  6. Recommend policy reforms and governance improvements

ARTICLE V — STRUCTURE AND GOVERNANCE

Section 1 — Commission Body

The OCC shall be governed by a body of appointed Commissioners.

Section 2 — Leadership Roles

  • Chairperson of the Commission
  • Deputy Chairperson
  • Commissioners

Section 3 — Divisions

The Commission shall establish operational divisions, including but not limited to:

  • Enforcement Division
  • Compliance and Regulatory Affairs
  • Investigations and Audits
  • Policy and Governance
  • Public Affairs

ARTICLE VI — OPERATIONS AND PROCEDURES

  1. The Commission shall operate under formal procedures ensuring fairness, due process, and transparency.
  2. All investigations and enforcement actions shall be conducted with integrity and adherence to established standards.
  3. The OCC shall maintain official records of proceedings, findings, and actions.

ARTICLE VII — TRANSPARENCY AND ACCOUNTABILITY

  1. The OCC shall publish reports, findings, and relevant disclosures to maintain public trust.
  2. Public access to non-confidential records shall be provided where appropriate.
  3. The Commission shall uphold accountability within its own operations and decision-making processes.

ARTICLE VIII — ETHICS AND CONDUCT

  1. All Commissioners and staff shall adhere to strict ethical standards.
  2. Conflicts of interest must be disclosed and addressed.
  3. Integrity, impartiality, and professionalism shall govern all actions of the Commission.

ARTICLE IX — AMENDMENTS

  1. This Charter may be amended by formal resolution of the Commission.
  2. Amendments must align with the mission and foundational principles of the OCC.

ARTICLE X — EFFECTIVE DATE

This Charter shall take effect upon formal adoption and shall remain in force as the governing document of the Oversight Corporate Commission.
